Seeking a General Counsel

This General Counsel role involves providing comprehensive legal support to Siltronic’s site operations, reporting to both the Site President and the Group General Counsel in Germany. The position requires advising various functional units, including Strategic Procurement, HR, Finance (including Insurance), and Environmental Health & Safety (Including Portland Harbor Superfund matters), while also managing legal matters and coordinating outside legal resources in alignment with the global Legal & Compliance department. Additionally, the role includes corporate responsibilities such as acting as Corporate Secretary and Compliance Officer for the site, providing updates to Siltronic AG, and integrating into Siltronic’s worldwide Legal & Compliance function.

Job Details:

  1. Interpret laws, rules, regulations, contracts, and other legal documents to identify key elements relevant to Siltronic’s operations and determine what information should be communicated to functional units and Site Leadership.
  2. Identify which functional business groups are impacted by legal issues and lead the development or revision of policies, procedures, and guidelines to address those issues.
  3. Evaluate and prioritize the relevant magnitude of legal risks to inform business decisions.
  4. Advise on compliance with local, state, and federal laws and regulations, including labor law, Uniform Commercial Code, environmental health and safety, and customs regulations.
  5. Manage Siltronic’s involvement in Portland Harbor Superfund matters, including litigation and negotiation with insurance companies, third parties, and relevant stakeholders.
  6. Provide legal counsel on contracting and business agreements; lead or support negotiations as needed.
  7. Identify, secure, and manage specialized outside legal counsel when required.
  8. Assess legal risks and provide well-reasoned legal opinions and recommendations.
  9. Represent and defend the company in legal matters as necessary.
  10. Support the development and implementation of business policies.
  11. Interface with external parties, such as regulators and external counsel.
  12. Act as Corporate Secretary, advising on corporate governance and general legal matters.
  13. Act as Compliance Officer for Siltronic Portland: define mitigations strategies and report relevant cases to Siltronic’s Group Legal & Compliance Department.
  14. Interface with Siltronic’s Global Legal & Compliance Department and Board, as necessary.
  15. Maintain and manage corporate legal records.
  16. Monitor and evaluate proposed and enacted legislation (i.e., OBI support) for potential impact on the business.
  17. Participate in special projects and perform other duties as assigned.

Position Requirements:

Requires a Juris Doctorate degree from an accredited law school with a minimum of 5 years' experience practicing law and a license to practice in Oregon. Must be able to assess legal risk while balancing business and commercial needs. Environmental law and litigation experience preferred. Requires a thorough understanding of the Uniform Commercial Code and general corporate law, along with basic knowledge of construction, customs, and antitrust law. Labor and employment litigation experience preferred. Must have significant experience drafting and negotiating contracts, developing legal strategy and objectives, and managing outside counsel.
