Job Title: Director, Legal  

Reports to: CFO 

Compensation Range: $120,000-200,000 + Bonus Potential (Depending on Experience)    

Location: Remote (US-based, East Coast Timezone Preferred)

Position Overview 

We are looking for a Director of Legal to join our team. In this role, you will be responsible for leading and managing the legal department, providing strategic legal counsel across all facets of the organization, ensuring compliance with applicable laws, and managing legal risks and liabilities.  This role requires strong leadership, legal expertise, the ability to manage fast paced and shifting priorities, and strong communication and collaboration with internal and external stakeholders.   

You will be responsible for overseeing all legal aspects of our business, including customer contracts, vendor contracts, intellectual property management, compliance, litigation management, providing internal support for financings, and supporting various internal departments including IT and HR. You will also manage and collaborate with our internal and external legal teams and other stakeholders to ensure that we operate in accordance with the law and our values.  This position will report to the Chief Financial Officer. 

Responsibilities: 

  • Lead and manage the internal legal department as well as serving as the primary legal advisor to executive leadership; 

  • Draft, review, and negotiate a wide range of commercial agreements, including customer MSAs, Order forms, NDAs, Data Processing Agreements, partnership contracts and vendor contracts; 

  • Work closely with sales, deal desk, and finance teams to ensure timely and accurate execution of agreements; 

  • Collaborate with our patent and trademark attorneys on existing and potential intellectual property portfolio and strategy; 

  • Work closely with our security team on ISO compliance and certifications; 

  • Support corporate governance, board matters, and equity financing or debt contract modifications; 

  • Handle any litigation or pre-litigation matters and coordinate with external counsel and insurance providers; 

  • Address any customer or vendor disputes and provide legal support and guidance to resolve issues; 

  • Collaborate cross-functionally with sales, marketing, and HR to provide legal input on policies, handbooks, compliance, and employee relations; 

  • Ensure the organization’s compliance with all applicable laws and regulations, including global data privacy laws (e.g., GDPR, CCPA), IP protections, security matters, third party data provider compliance, and cybersecurity standards; 

  • Develop and maintain scalable legal processes and best practices to support our business objectives and mitigate risks. 

Requirements: 

  • JD degree from an accredited law school and admission to the bar in the state of domicile; 

  • At least 7 years of relevant legal experience, preferably a mix of law firm and in-house experience with technology clients or at a technology company; 

  • Experience in drafting and negotiating complex contracts, especially SaaS and professional services agreements; 

  • Experience in commercial contracts, corporate governance, data privacy, compliance, intellectual property, litigation, and employment law; 

  • Excellent communication, negotiation, and interpersonal skills; 

  • Ability to work independently and collaboratively in a fast-paced and dynamic environment; 

  • Ability to manage multiple projects and prioritize effectively; 

  • Strong analytical, problem-solving, and decision-making skills and demonstrated ability to understand complex legal concepts and analysis and translate those to non-lawyers to create practical processes, guidance, and training; 

  • Proven management experience, including the ability to empower, motivate, train, and mentor a team; 

  • High ethical standards and integrity.
