We are looking for an experienced Corporate Paralegal to help support our Contracts/Legal Department in our Marietta, GA office.

The Primary Responsibilities Include

Review, edit, and negotiate commercial and governmental contracts
Maintain database of corporate Secretary of State filings
Prepare and file annual reports with the Secretary of State
Communicate with various franchise tax boards to maintain state tax records
Organize and maintain an electronic contracts database
Provide support to in-house and outside counsel
Proofread documents
Administrative duties
At least 5 years working as a corporate paralegal or assistant corporate secretary
At least 2 years experience filing and maintaining corporate documents
Experience dealing with various state franchise tax boards
Ability to critically analyze, comprehend, and modify contract language
Thorough knowledge and experience with Microsoft Office
Strong and effective written and verbal communication skills
Ability to maintain high level of confidentiality
Strong organizational and analytical skills
Very detail oriented
Ability to prioritize responsibilities and coordinate several activities at once
