Job description

The VP - Deputy General Counsel International Legal will serve as the primary legal advisor for Arcera’s international commercial operations and GenMed division. The DGC will lead a team of legal professionals fostering a culture of excellence, collaboration and value creation. The DGC will provide strategic legal counsel and support to drive business growth in global markets and alignment with corporate objectives, values and standards.


1. Leadership and Team Management:

  • Be a role model and champion of Arcera purpose, values and strategy.
  • Lead and manage a diverse team of legal professionals, ensuring alignment with business objectives and efficient & focused delivery of legal support.
  • Provide guidance and mentoring to legal team members, promoting professional development and best practices.
  • Implement legal culture and strategies that align with the global commercial objectives of the business.
  • Support the leadership and broader team in making legally sound and ethical business decisions.

2. Strategic and focused legal/transactional support: 

  • Oversee and manage all aspects of commercial legal matters in international markets, including contract negotiations, local & regional business development projects and distribution contracts. 
  • Provide strategic legal counsel on market entry, expansions, and commercial strategies in various international jurisdictions. 
  • Advise on the development and execution of international sales, product launches and marketing programs in compliance with local regulations and industry standards. 
  • Lead the due diligence and integration of global business development transactions in the international markets.

3. Regulatory & Compliance: 

  • Ensure the company complies with all applicable laws, regulations, and ethical standards in the international pharmaceutical and medical markets, including product registration, marketing authorizations, and clinical trials. 
  • Stay updated on international pharmaceutical regulations to minimize risk and ensure compliance with healthcare laws and standards. 
  • Lead efforts to assess and mitigate legal and regulatory risks in the global market, including identifying potential legal issues that could impact business operations.

4. Intellectual Property & Licensing: 

  • Provide guidance - in coordination with the in-house and external IP experts - on licensing agreements, IP rights & dispute management and freedom to operate.  
  • Oversee and protect the company’s intellectual property portfolio in the international markets, including patents, trademarks.

5. Litigation & Dispute Resolution: 

  • Manage and coordinate legal disputes and government investigations with the support of the Corporate legal team including product liability, commercial contracts, antitrust, and any regulatory challenges across international markets. 
  • Work closely with external legal counsel, internal stakeholders, and insurance providers to develop and implement effective litigation strategies.

6. Training & Awareness: 

  • Develop and conduct training programs to raise awareness of legal issues across the commercial business, promoting a culture of compliance and risk mitigation. 
  • Work cross-functionally to ensure the organization’s legal and compliance framework is integrated into day-to-day business activities. 

7. Corporate Governance and Risk Management:

  • Collaborate with senior management to ensure corporate governance practices are implemented locally including Arcera DoA.
  • Work with the risk management team and lead efforts to assess and mitigate legal and regulatory risks in international markets.
  • Manage corporate aspects of the integration of global business development and M&A projects in the international markets.
  • Provide legal advice during crisis situations and support in response plans.

8. Legal Operations:

  • Design and implement the global legal trainings and development initiatives.
  • Develop and implement a strategy to achieve cost efficient  management of external counsels including the negotiation of global letters of engagement.
  • Implementation of global legal tools (contract management, legal research..).
  • Identify and implement simplification initiatives to drive efficiency and agility.
  • Develop and conduct training programs to raise awareness of legal issues across the TechOps business, promoting a culture of compliance and risk mitigation.
  • Work cross-functionally to ensure the organization’s legal and compliance framework is integrated into day-to-day business activities.
