General Description:

BeiGene is seeking an experienced corporate securities and transactional lawyer to complement our global Legal and Compliance team who thrives in fast-paced settings and has a proactive and pragmatic approach. This lawyer will be instrumental in supporting our general corporate, transactional, public company reporting, and corporate governance matters.

Essential Functions of the job:

  • Provide legal support on various types of transactions, including equity investments, joint ventures, credit facilities, corporate financing, corporate restructurings, and mergers and acquisitions, including due diligence, negotiation of terms, drafting of documentation, and regulatory filings.
  • Support the Corporate Affairs teams, attending to matters such as press release, website and communications review.
  • Attend to general corporate concerns including company policy review and preparation of board/committee materials.
  • Draft and review securities filings including completing form checks against relevant rules and SEC comment letter responses.
  • Stay current on updated SEC and Nasdaq filing requirements.
  • Support the treasury and finance team to maintain debt covenant compliance.
  • Provide counsel in support of the Company’s equity plans and award grant agreements.
  • Engage and manage the work of the outside counsel.
  • Develop a solid network of relationships inside and outside of the organization to support the objectives of the Legal and Compliance team and the business as a whole.

Supervisory Responsibilities:

Computer Skills:   Proficiency in the Microsoft suite of tools including Outlook, Word, PowerPoint and Excel. Familiarly with Workiva, Intelligize and EDGAR.

Other Qualifications:   

  • At least six years of relevant experience handling corporate and transactional matters at a large law firm and preferably some as in-house counsel at a publicly listed company.
  • Highly effective communication skills (both verbal and written in English).
  • Prior experience handling corporate transactional matters, including M&A and financing.
  • Prior experience with SEC filings including annual and quarterly reports, proxy statements and current reports.
  • Excellent drafting and negotiating skills and a solid understanding of transaction life cycles.
  • Solid project management skills.
  • Ability to evaluate legal exposure, manage risk, and interpret and apply laws, regulations, case law, statues, and policies to provide expert advice.
  • Proactive approach to recognizing business needs, anticipating issues, and determining next steps and actions.
  • Strong business acumen; ability to contribute strategically to the Company’s business.
  • Team player with ability to collaborate proactively with cross-functional teams across multiple time zones and interact effectively with all levels within the Company.
  • A demonstrated ability to work independently, balancing competing priorities in a fast-paced deadline-driven environment with a high level of professionalism.
  • Highly detail-oriented.
  • Ability to handle confidential and proprietary information using excellent discretion and judgment.
  • Self-motivated, reliable and responsive.
  • Ability to be flexible and willing to accept new responsibilities as needed.
  • Qualified to practice law in the U.S.
  • Build on/improve current legal processes, including the creation of playbooks, handbooks and cheat sheets.
  • Preferred experience with Swiss corporate governance.

Education Required:

Juris Doctor or Master of Laws from an accredited law school in the U.S.

Travel:  Up to 20%

Salary Range: $174,000.00 - $224,000.00 annually

BeiGene is committed to fair and equitable compensation practices. Actual compensation packages are determined by several factors that are unique to each candidate, including but not limited to job-related skills, depth of experience, certifications, relevant education or training, and specific work location. Packages may vary by location due to differences in the cost of labor. The recruiter can share more about the specific salary range for a preferred location during the hiring process.  Please note that the listed range reflects the base salary or hourly range only. Non-Commercial roles are eligible to participate in the annual bonus plan, and Commercial roles are eligible to participate in an incentive compensation plan.
