Nuix is seeking an experienced corporate paralegal to manage the compliance programs and policies, oversee insurance and IP administration, support corporate governance matters, and assist the legal team with corporate projects and maintenance of contracts and records. Reporting to the US-based Deputy General Counsel, this role may be based in the US, Canada, Australia, the Philippines, or the UK and will work as part of a wider legal team based in the US, London, and Sydney for a global company that is changing the way cyber, digital investigations, large scale data analytics & intelligence are being conducted around the world.
This position is a full-time, permanent role based in the Phillippines, with ability to travel to Manila as required. The candidate is required to work US Eastern Standard Time Zone (hours approximately 3am to 12pm Eastern Time).
Key Responsibilities
- Manage requests for legal assistance submitted to the legal email inbox and assign as appropriate in the contracts management system
- Maintain contracts management system and corporate database and records, including key contacts list
- Respond to customer and vendor questionnaires.
- Conduct vendor, customer, and partner diligence checks, including background checks, OFAC compliance, export controls, etc.
- Identify, escalate, and regularly review vendor engagements based on risk criteria (privacy, security, critical business vendors).
- Maintain legal team corporate compliance programs, trainings and document management System
- Manage regulatory compliance calendar (certifications, regulatory filings, updates)
- Manage intake and escalation of regulatory compliance email boxes; manage response of standard regulatory requests (Data Subject Access Requests)
- Manage IP portfolio, including keeping detailed records of patent/trademark filings, and coordinating all resources necessary to file and prosecute applications
- Manage office lease portfolio, maintain office lease portfolio spreadsheet, and manage related key dates and actions
- Respond to requests for certificates of insurance and internal insurance claims and update property insurer with office space and personal property inventories
- Request and organize documents from other departments to further legal team processes and operations
- Support multiple teams within the finance department including tax with statutory filings and compliance, and internal accounting and external accounting firms
- Serve as Ariba administrator for US Government Sales Team
- Serve as LawVu and Refinitiv subject matter expert and support for Sales Team
- Manage deal desk in Salesforce
- Respond to revenue recognition surveys from Finance Team
- Review NDAs and other noncomplex supplier agreements
- Assist with contract migration to LawVu
- Assist with contract template updates and publication
- Assist with content updates in SharePoint
- Support the legal team with other matters, as needed
Skills, Knowledge and Expertise
- Willingness to work US Eastern Time Zone Hour of approximately 3 am – noon Eastern Time
- Tertiary education
- Minimum two years of corporate paralegal or related experience with a law firm, technology company, or public company
- Experience managing day-to-day corporate and regulatory compliance activities and policies
- Exceptional written and oral communication skills in English
- High attention to detail and excellent organizational and problem-solving skills
- Ability to work well under pressure, handle multiple time sensitive obligations
- Highly skilled in MS SharePoint and Office software (Word, Excel, Outlook, PowerPoint, etc.) and able to adapt quickly to new technologies deployed across the company
- Discretion handling confidential information
- Demonstrated high level of ethical behavior
- Positive attitude and self-starter
Desired Expertise:
- Familiarity with Salesforce, LawVu or equivalent contract management tool
- Experience supporting multinational companies with international business operations
