Position Summary
The Vice President, Contracts will manage the Contracts team and report to the General Counsel. This role will oversee the entire contract lifecycle, including negotiation, drafting, review, execution, and closeout, ensuring compliance with legal and business requirements. The Vice President, Contracts must have exceptional attention to detail, the ability to evaluate contracts from both legal and business perspectives. This individual must bring at least 10 years of experience in the pharmaceutical distribution and/or manufacturing space, with a proven track record of navigating complex contractual frameworks in highly regulated environments. The Vice President, Contracts will lead the team in developing efficient processes to support the company’s contracting needs, mitigate risk, and drive alignment with business objectives. A self-starter with excellent leadership and communication skills, the Vice President, Contracts will play a critical role in ensuring the organization’s contractual obligations are met while fostering positive internal and external relationships.

Essential Functions and Duties
- Lead contracts operations though the entire contract lifecycle. This includes competently executing the preparation, analysis, revision, negotiation, and maintenance of all contract documents from initial pursuit through contract closeout.
- Serve as a strategic business partner furthering business growth, collaborating with corporate leadership team, ensuring contractual compliance and recommending contractual risk mitigation paths.
- Manage the Contracts team, ensuring timely and accurate contract drafting, review, and execution and that resources are allocated appropriately.
- Responsible for drafting, preparing, evaluating, reviewing and negotiating a variety of transactional documents, including, but not limited to: Distribution Agreements, Non-Disclosure Agreements, GPO Agreements, Purchase Orders, Vendor Agreements, Sales and Purchasing Agreements, Sub-contracts, Independent Consulting Agreements, Licensing Agreements, Statements of Work Service Agreements, IT, and any other contracts necessary for FFF to carry out commerce.
- Support the executive leadership team on strategic projects.
- Support risk management efforts; engages and collaborates proactively and cross-functionally with other business units throughout the organization to ensure that agreements adequately protect the company’s interests.
- Provide strong teamwork and relationship management skills; work effectively as a liaison between the legal department and all internal clients and external partners/stakeholder to provide legal support for key business initiatives.
- Ability to handle multiple assignments and deadlines with accuracy and excellent attention to detail.
- Drive continuous improvements in policies and processes, including document templates; evaluate workflows and establish priorities.

Qualifications
Education, Knowledge, Skills, and Experience
Required Education:
- Juris Doctorate from an ABA accredited law school or Master’s Degree with significant experience in contract management, negotiation, and administration, particularly in the pharmaceutical, life sciences, or related industries.
Required Knowledge:
- Deep understanding of contract lifecycle management, including negotiation, drafting, review, and closeout, with a focus on pharmaceutical or life sciences contracts.
- Expertise in handling complex agreements such as distribution contracts, licensing agreements, GPO agreements, and vendor agreements.
- Hands-on experience with implementing and managing document repository systems, including setting up workflows and maintaining compliance with regulatory and organizational standards. Familiarity with ConvergePoint or similar contract management platforms is highly preferred.
Required Experience:
- Must have a minimum of ten (10) years of relevant legal experience, ideally with a combination of law firm and in-house roles, particularly in Pharmaceutical, life sciences industry.
- Must have five (5) years in a previous leadership and managerial role.
- The candidate must have a strong background in negotiating and drafting complex agreements.
- Exceptional attention to detail and advanced critical thinking and communication skills with ability to influence and shape favorable business outcomes.
- Experience working closely with senior management and cross-functional teams to achieve business objectives.
- Significant expertise in Microsoft Office suite including Microsoft Word and Excel is required.

Physical requirements
Vision, hearing, speech, movements requiring the use of wrists, hands and/or fingers. Must have the ability to view a computer screen for prolonged periods and the ability to sit for extended periods. Must have the ability to work the hours and days required to complete the essential functions of the position, as scheduled. The employee occasionally lifts to 20 lbs. and occasionally kneels and bends. Must have the ability to travel occasionally. Working condition include normal office setting.
