Senior Counsel, Corporate Governance
Join our Law & Governance team, where we provide world-class, innovative solutions to the TELUS International group of companies ("TI"). We partner with colleagues across the organization to progress business priorities and deliver outstanding outcomes for the clients and communities we serve.
As Senior Counsel, Corporate Governance, you will focus on supporting our corporate governance and securities requirements in the US and Canada, as well as across the globe.
Reporting to the VP, General Counsel and Assistant Corporate Secretary, you will work directly with key members of the global business and legal team around the world to drive excellence into our corporate governance and securities practices.
As a highly-motivated individual who thrives in a fast-paced work environment, you will continue to enhance our strong, collaborative relationship with team members globally and drive effectiveness and efficiencies into our business, focusing on:
- Driving corporate governance excellence at TI, keeping abreast of developments in corporate governance best practices and identifying opportunities for continuous improvement
- Reviewing and drafting corporate governance-related policies and continuous disclosure documents and developing our proxy advisor relationships
- Aligning with internal requirements while ensuring compliance with securities and continuous disclosure requirements, including oversight of filings (SEDI, Sedar, Edgar, TMX Linx, etc.)
- Overseeing compliance of our subsidiaries corporate governance practices and compliance across the globe, implementing best practices while ensuring effective and efficient support of our business
100% remote in Ottawa, Toronto or Montreal, Canada or Madrid, Spain. Although offices are available, this position is remote "work from anywhere," including your home.
Skills
- Qualified to practice law in the US, Canada or the EU, and in good standing
- Ability to work independently, leading projects or initiatives with appropriate outreach and risk management
- 7+ years experience in-house preferred, although firm experience will be considered, with strong focus on securities, corporate governance and continuous disclosure requirements
- Excellent English communication and drafting skills required, other languages are an asset
- May be required to work shifted hours in support of requirements
- Prior experience supporting global business and comfortable managing outside counsel as required
- Confident at engaging and interacting with sophisticated stakeholders, internally and externally
- Noted for ability to examine and evaluate complex issues while demonstrating an ability to focus and articulate important points and effective solutions.
- Recognized for record of successfully managing multiple, concurrent priorities and delivering on commitments
