Department Overview
Managed under the UC Santa Cruz Office of Research, the Innovation & Business Engagement Hub is the point of entry for industry partners, investors, and entrepreneurs to connect with UC Santa Cruz discoveries, innovations, resources, and talent. Within the Hub, the Industry Alliances team is responsible for developing and stewarding industry research collaborations to diversify research funding and accelerate innovation. The team initiates and manages industry partnerships across the entire relationship lifecycle and works closely with faculty, researchers, and program leads to facilitate industry engagement. The Industry Alliances team also collaborates with partners in the Hub focused on innovation transfer, corporate relations, and innovation and entrepreneurship initiatives.
Job Summary
Reporting to the Director, Industry Alliances, the Industry Agreements Officer has responsibility for drafting, reviewing, negotiating, and managing a wide range of agreements enabling research and collaboration with industry partners. The role draws upon intellectual property, business, and legal knowledge alongside negotiation, conflict management, and problem-solving skills to facilitate successful execution of agreements and other documentation. The Industry Agreement Officer also serves as a resource for campus partners, supporting effective preparation for the industry agreement process, providing targeted training, and reliably explaining contractual terms and conditions. Additionally, the role reviews relevant internal, operational processes for efficiency as well as agreement templates for pertinence and assists in process and template improvements and updates working both within the unit and collaboratively with other campus stakeholder units.
APPOINTMENT INFORMATION
Budgeted Salary: $125,000 - $137,000/year. Salary commensurate with skills, qualifications and experience.
Under California law, the University of California, Santa Cruz is required to post a reasonable estimate of the compensation for this role. The salary shown above is the budgeted amount the University reasonably expects to pay and the salary extended should not exceed this posted amount.

Work Location: Remote. This position requires fully remote work, subject to the terms of an annual telecommuting agreement, with the potential need to come to campus for meetings on limited occasion. While telecommuting/remote working, the employee is responsible for ensuring a worksite environment suitable for accomplishing their regular job duties during scheduled hours of work and, if applicable, arranging for dependent care just as they would if they were working in person at a UCSC worksite.

Job Duties
35% - Industry Agreements
- Drafts, reviews, and negotiates agreements with external industry parties including complex industry sponsored research agreements, research collaborations agreements and memoranda of understanding, consortia agreements, recharge facility service agreements, and other agreements as needed, generally encompassing intellectual property, technology commercialization, business, and financial terms and requiring alignment with UC policies and guidance, sound business practices, and legal requirements.
- Works closely with Research Compliance and Innovation Transfer teams and assesses and coordinates activities and approvals necessary for agreement execution such as UC policy exceptions, foreign influence, conflict of interest, and technology licensing.
35% - Collaboration and Research Agreements
- Drafts, reviews, negotiates, and executes (with university delegated authority) high-volume research- and collaboration-enabling agreements including material testing and transfer agreements, data use and transfer agreements, and non-disclosure agreements.
- Regularly reviews and advises on corporate gift acceptance documentation, ensuring compliance with UC gift and sponsored award policies and guidance.
20% - Campus Resource
- Serves as a campus resource, advising and assisting faculty, researchers, and other client groups by interpreting and explaining agreement terms and conditions and resolving contractual problems that develop during the course of the project in consultation with stakeholders and unit leadership.
- Works closely with principal investigators to prepare for drafting, reviewing, and negotiating agreements with industry, including developing financial budgets tied to anticipated scopes of work.
10% - Administrative Operations
- Manages executed agreements, including electronic filing, communications and coordination with principal investigators and sponsored projects team, and transfer to financial affairs and department post-award staff.
- Develops and maintains standard operating procedures and agreement templates and stays abreast of UCOP policies and guidance, intellectual property laws, and legal matters.
- Develops and delivers training for faculty, staff, and other stakeholder related to industry agreements and engagement.
Required Qualifications
- Bachelor's degree in business, engineering, science or related area.
- Significant experience in intellectual property management and drafting and negotiating complex legal agreements.
- Thorough knowledge of drafting, reviewing, negotiating, and managing complex agreements involving intellectual property and business terms.
- Strong conflict resolution skills.
- Ability to interpret and apply laws, regulations, and written policies and guidance.
- Strong attention to detail consistently reflected in work products and communications.
- Excellent organizational and time management skills with ability to effectively address high volume of activity.

- Knowledge of research compliance, conflict of interest, foreign influence, technology transfer, and other research engagement considerations.
- Experience in university technology transfer, sponsored projects, and/or corporate and foundation relations.
